SALES AGREEMENT: TERMS & CONDITIONS
MetConc LLC
By entering into this Agreement (verbal or signed), the Buyer represents to MetConc LLC ("Seller") that they have read, understood, and agreed to the following terms and conditions regarding the purchase and installation of a steel structure.
I. PAYMENT & PRICING
Payment Terms: All sales are C.O.D. (Cash on Delivery). The remaining balance is due in full at the time of installation. Please make all payments payable to “MetConc LLC.”
Ownership: The structure remains the property of MetConc LLC until the balance is paid in full. Failure to pay grants MetConc LLC the right to reacquire and repossess the structure and seek legal actions. 
Late Fees: Any payments made after the date of installation is consider late, will incur additional interest, administrative fees, late fees. After due date, MetConc LLC will charge "Late fees" and other fees. 
Code Compliance: Buyer acknowledges that local building codes vary. If local regulations require modifications (e.g., deeper footings or reinforced framing), the Sales Price will be adjusted. Such changes require a separate quotation and written approval.
Material Volatility: If the Buyer is not ready for installation within six (6) months of the purchase date, MetConc LLC reserves the right to adjust contract pricing to reflect current material and labor costs.
Taxes: Buyer is responsible for all applicable sales/use taxes unless a valid tax-exempt certificate is provided at the time of signing.
II. SITE PREPARATION & BUYER RESPONSIBILITIES
Site Readiness: The Buyer is solely responsible for ensuring the job site is level, squared, and cleared prior to the crew's arrival.
Clearance: A clear 25 ft radius around the installation area  and/or one side of the concrete pad or installation area is required. Tight spaces requiring extra labor will result in additional fees.
Utilities: Buyer must identify and flag all underground cables, gas lines, or septic systems. MetConc LLC assumes no liability for damage to unmarked utilities.
Foundations: All costs and specifications for foundations are the Buyer’s responsibility unless MetConc LLC is specifically contracted for concrete work.
Permits: Buyer is responsible for obtaining all permits. If work is stopped by local authorities due to lack of permits, the Buyer remains liable for the full cost of labor and materials.
III. DELIVERY & INSTALLATION
Scheduling: All dates provided are estimates and are subject to change due to weather, logistics, or manufacturing capacity.
"As-Is" Installation: If a site is not level at the time of arrival, the crew may—at their discretion—install the unit "As-Is." Doing so immediately voids all warranties.
Cancellations & Delays: If poor site preparation forces a cancellation or re-mobilization, the Buyer will be charged a restocking/re-mobilization fee.
Site Condition: MetConc LLC is not responsible for incidental damage to the site (e.g., ruts in grass, mud, or scratches to fences) during the normal course of installation.
Photos & Marketing: Buyer grants MetConc LLC permission to photograph the structure for quality control and marketing purposes, including use on social media and digital platforms.
IV. WARRANTIES & VOIDANCE POLICY
CRITICAL: All warranties are contingent upon payment in full. Any relocation or unauthorized alteration of the structure voids all coverage.
1. Limited Warranties
90-Day Workmanship: Covers installation defects or missed work performance for 90 days. Note: This does not cover roof leaks on horizontal units (only vertical roofs) or water seepage under the base rail.
1-Year Rust Warranty: Applies only to 12-gauge framing. 14-gauge material is excluded.
Wind Warranty: If a certified anchoring system is used, the structure is warranted against wind damage up to 100 MPH.
Manufacturer Paint Warranty: 29-Gauge steel is not covered; 26-Gauge steel is covered for 2 years against peeling or flaking. All colors digital are a representation of the color codes, actual color will vary front and/or back of panels. We are not responsible for any color variation or product spec difference from  MetConc LLC manufacture and/or vendors.
Repairs: Any repairs done by MetConc LLC will be warranty, although if area or item of repair has been altered, repairs, substitutions, exchange, modifications, addition, warranty will void. Any other work outside of the repair scope will cause a service charge. 
Alterations: Any alteration, repairs, substitutions, exchange, modifications, additions, from 3rd party or Buyer, and/or anyone outside MetConc LLC will result in void of warranty, this includes repairs or replacements of material and work performed. 
Any work performed by an Independent Contractor hired by MetConc LLC will be guaranteed by the independent contractor and MetConc LLC is not responsible. 
2. Absolute Prohibition of Unapproved Modifications
The structural integrity of your unit is designed specifically for "As-Built" conditions. The following actions by the Buyer or third-party trades will immediately void all warranties:
Insulation: Application of spray foam, fiberglass, or vapor barriers (due to potential for chemical reactions/corrosion).
Interior Additions: Adding partition walls, lofts, or mezzanines that add "dead load" weight not included in the original design.
MEP Systems: Cutting roof/wall panels for HVAC vents, drilling structural columns for electrical conduit, or core-drilling the slab for plumbing post-installation.
V. CANCELLATIONS & REFUNDS
Deposits: Down payments are non-refundable.
Permit Denial: If a permit is denied for reasons outside the Buyer's control, the deposit may be refunded minus costs for labor, administration, and engineered plans.
Cancellation During Installation: If the Buyer cancels while the crew is on-site, the Buyer is responsible for 75% of materials, 75% of delivery, and 75% of labor costs incurred to that point.
Dispute Resolution: In the event of a dispute, Buyer agrees to a 30-day mediation/arbitration period prior to seeking further legal action. Written notice must be sent to info@metalandconcrete.com.
VI. LIMITATION OF LIABILITY & FORCE MAJEURE
Force Majeure: MetConc LLC is not liable for delays caused by Acts of God (storms, floods, etc.), pandemics, material shortages, or transportation accidents.
Inspection Window: Buyer must inspect the structure immediately upon installation. Any claims for defects must be submitted within one (1) business day. After this window, service charges will apply for any site visits.
Liability Cap: The maximum liability of MetConc LLC for any claim is limited to the face value of this Agreement. MetConc LLC is not liable for consequential or punitive damages.
Governing Law: This Agreement is governed by the laws of the State of Texas. Venue for all disputes shall be El Paso, Texas.
